1. Introduction

Welcome to JobSoko (“Platform,” “we,” “us,” or “our”), the leading digital recruitment marketplace connecting job seekers, employers, and recruiters across UgandaKenya, and the broader East African region.

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “You,” or “Your”) and JobSoko East Africa Ltd. (Registered in [Insert Registration Country, e.g., Kenya], with operations in Kampala, Uganda and Nairobi, Kenya).

By accessing or using the JobSoko website, mobile application, or services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and applicable laws of the Republic of Uganda and the Republic of Kenya.

2. Eligibility

To use JobSoko, you must:

  • Be at least 18 years old (the age of majority in both Uganda and Kenya).
  • Have the legal capacity to enter into a binding contract under the Contracts Act of Uganda or the Law of Contract Act (Cap 23) of Kenya.
  • Be physically located in or seeking employment within Uganda, Kenya, or the East African Community (EAC).
  • Not be barred from using digital services under any local law.

3. User Accounts and Verification

3.1 Accurate Information

You agree to provide truthful, accurate, and current information during registration. Under the Uganda Data Protection and Privacy Act, 2019 and the Kenya Data Protection Act, 2019, providing false personal data may constitute an offense.

3.2 Identity Verification (KYC)

To combat fraud and ensure safety:

  • Employers: Must verify their business registration details (e.g., via Uganda Registration Services Bureau (URSB) or eCitizen Kenya).
  • Job Seekers: May be required to verify identity using National IDs, Passports, or other government-issued IDs recognized in Uganda or Kenya.
  • JobSoko reserves the right to suspend accounts that fail verification checks.

3.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials. Notify us immediately of any unauthorized access via mailto:support@jobsoko.com.

4. Code of Conduct & Prohibited Activities

4.1 General Prohibitions

Users must not engage in:

  • Illegal activities under Ugandan or Kenyan law.
  • Hate speech, tribalism, religious discrimination, or harassment (violating the Constitution of Uganda and the Constitution of Kenya).
  • Uploading malware or attempting to hack the Platform.

4.2 Specific Rules for Employers

  • No Recruitment Fees: In compliance with the Employment Act, 2006 (Uganda) and the Employment Act, 2007 (Kenya), employers and agents are strictly prohibited from charging job seekers fees for recruitment, processing, or training prior to employment. Violation will result in immediate banning and reporting to the Ministry of Gender, Labour and Social Development (Uganda) or the Department of Labour (Kenya).
  • Authentic Vacancies: Posting fake jobs to harvest data is illegal and will be prosecuted.
  • Non-Discrimination: Job posts must not discriminate based on tribe, gender, religion, disability, or HIV status.

4.3 Specific Rules for Job Seekers

  • Resume Integrity: Fabricating academic qualifications (e.g., fake degrees from unrecognized institutions) is grounds for immediate termination and potential legal action.
  • Professionalism: Harassing recruiters or sending spam messages is prohibited.

5. Job Postings and Applications

5.1 Intermediary Role

JobSoko acts solely as an intermediary. We do not:

  • Guarantee employment for seekers.
  • Guarantee the quality or legitimacy of candidates for employers.
  • Mediate employment disputes (these fall under the jurisdiction of Ugandan/Kenyan Labour Courts).

5.2 Content License

  • Employers: Grant JobSoko a non-exclusive license to display job posts across our network.
  • Seekers: Grant JobSoko the right to share your profile with verified employers based on your privacy settings.

6. Fees, Payments, and Taxes

6.1 Currency

All transactions on the Platform are conducted in Ugandan Shillings (UGX)Kenyan Shillings (KES), or USD where applicable.

6.2 Payment Methods

We support locally compliant payment gateways, including:

  • Mobile Money (MTN Mobile Money, Airtel Money in Uganda; M-Pesa in Kenya).
  • Credit/Debit Cards.
  • Bank Transfers.

6.3 Taxes

  • Users are responsible for any applicable taxes, including Value Added Tax (VAT) (currently 18% in Uganda and 16% in Kenya) or withholding taxes as required by the Uganda Revenue Authority (URA) and the Kenya Revenue Authority (KRA).
  • JobSoko will issue electronic tax invoices compliant with local EFRIS (Uganda) and eTIMS (Kenya) systems where applicable.

7. Data Protection and Privacy

Your privacy is paramount. Our practices comply strictly with:

  • Uganda: The Data Protection and Privacy Act, 2019 and guidelines from the Personal Data Protection Office (PDPO).
  • Kenya: The Data Protection Act, 2019 and regulations from the Office of the Data Protection Commissioner (ODPC).

7.1 Cross-Border Data Transfer

As a regional platform, your data may be processed in servers located in Uganda, Kenya, or secure cloud regions. By using JobSoko, you consent to this transfer, provided we maintain safeguards equivalent to local laws.

7.2 User Rights

You have the right to:

  • Access your personal data held by JobSoko.
  • Request correction or deletion of your data (“Right to be Forgotten”).
  • Withdraw consent for data processing.
  • Lodge a complaint with the relevant Data Protection Authority in your country.

8. Intellectual Property

  • JobSoko Ownership: All code, designs, logos, and content created by JobSoko are protected under the Uganda Copyright and Neighbouring Rights Act, 2006 and the Kenya Copyright Act, 2001.
  • User Content: You retain ownership of your resume and job descriptions but grant JobSoko usage rights as defined in Section 5.2.

9. Disclaimers and Limitation of Liability

9.1 “As Is” Service

The Platform is provided “as is.” JobSoko makes no warranties, express or implied, regarding the accuracy of job listings or the suitability of candidates.

9.2 Limitation of Liability

To the maximum extent permitted by Ugandan and Kenyan law:

  • JobSoko shall not be liable for any indirect, incidental, or consequential damages (including loss of profits or data).
  • Our total liability shall not exceed the amount paid by you to JobSoko in the preceding six (6) months, or UGX 500,000 / KES 50,000 if no fees were paid.

9.3 Third-Party Links

We are not responsible for the content or practices of external websites linked from JobSoko.

10. Indemnification

You agree to indemnify and hold harmless JobSoko, its directors, employees, and agents from any claims, losses, or expenses (including legal fees) arising from:

  • Your breach of these Terms.
  • Your violation of any Ugandan or Kenyan law (e.g., labour laws, data protection laws).
  • Any dispute between you and another user.

11. Termination

JobSoko may suspend or terminate your account immediately if:

  • You violate these Terms.
  • You engage in fraudulent activity.
  • Required by law enforcement or regulatory bodies in Uganda or Kenya.

Upon termination, your right to use the Platform ceases immediately. Surviving clauses include Intellectual Property, Limitation of Liability, and Dispute Resolution.

12. Governing Law and Dispute Resolution

12.1 Governing Law

  • For users primarily operating in Uganda: These Terms are governed by the laws of the Republic of Uganda.
  • For users primarily operating in Kenya: These Terms are governed by the laws of the Republic of Kenya.
  • For cross-border disputes: The laws of the seat of arbitration shall apply.

12.2 Dispute Resolution

  • Step 1: Amicable Settlement: Parties must first attempt to resolve disputes through good-faith negotiation within 14 days.
  • Step 2: Arbitration: If negotiation fails, the dispute shall be referred to and finally resolved by arbitration:
    • For Uganda-related disputes: Under the rules of the Centre for Arbitration and Dispute Resolution (CADR) in Kampala, in accordance with the Arbitration and Conciliation Act of Uganda.
    • For Kenya-related disputes: Under the rules of the Nairobi Centre for International Arbitration (NCIA) in Nairobi, in accordance with the Arbitration Act of Kenya.
    • The language of arbitration shall be English.
  • Class Action Waiver: Users waive any right to participate in class-action lawsuits in any court in Uganda or Kenya.

13. Amendments

JobSoko reserves the right to update these Terms. Significant changes will be communicated via email or in-app notification at least 14 days before they take effect. Continued use constitutes acceptance.
